Welcome to Office Spaces ("we," "us," or "our"), operating at www.officespaces.co. By accessing or using our comprehensive platform including office space listings, website builder services, virtual office solutions, communication services, and booking systems, you ("user" or "you") agree to comply with and be bound by these Terms of Use ("Terms"). Please read these Terms carefully before using our platform. If you do not agree to these Terms, do not use our services.

1. Acceptance of Terms

By accessing or using Office Spaces and its comprehensive platform services including office space listings, booking systems, website builder tools, virtual office packages, communication services (VOIP, virtual numbers), and property management features, you acknowledge that you have read, understood, and agree to be bound by these Terms and all applicable laws and regulations. These Terms apply to all users including tenants, property owners, property managers, commercial agents, and website builder clients.

2. Modifications to Terms

We reserve the right to update or modify these Terms at any time, at our sole discretion. All changes will be effective immediately upon posting on this page, and the "Last Updated" date at the top will reflect the most recent change. We encourage you to periodically review this page to stay informed about our Terms.

3. User Accounts

To access certain features or services on the Office Spaces platform, including office space bookings, property listings, website builder tools, virtual office services, and communication features, you may be required to create an account. Different account types are available for tenants, property owners, property managers, and commercial agents. You agree to provide accurate and complete information when registering for an account and to update your information as necessary. You are responsible for maintaining the confidentiality of your account credentials and for all activities under your account. Account verification may be required for certain services, including payment processing and property listings.

4. Platform Services and User Responsibilities

Office Spaces provides a comprehensive platform offering multiple services. You agree to use all services in a manner consistent with applicable laws and regulations. Specific responsibilities apply based on service usage:

Office Space Listings & Bookings:

• Property owners must provide accurate descriptions, pricing, and availability information
• All listings must comply with local zoning and safety regulations
• Tenants must honor confirmed bookings and payment obligations
• Cancellation policies must be followed as specified in booking confirmations

Website Builder Services:

• Users are responsible for content they create and publish using our website builder tools
• Websites created must not violate intellectual property rights or contain illegal content
• Website hosting and domain services are subject to separate service level agreements
• Users retain ownership of their website content while granting us necessary operational licenses

Virtual Office & Communication Services:

• Virtual office addresses must be used for legitimate business purposes only
• VOIP and virtual number services must comply with telecommunications regulations
• Call forwarding and messaging services are provided on a best-effort basis
• Users are responsible for maintaining current contact information for service delivery

General Prohibitions - You agree not to:

• Engage in any unlawful activity or infringe on intellectual property rights
• Distribute harmful or illegal content, including viruses or malware
• Use the platform to harass, defraud, or impersonate others
• Attempt to gain unauthorized access to any part of the platform or associated systems
• Post or upload content that is obscene, defamatory, or otherwise inappropriate
• Create false listings or provide misleading information about properties or services
• Circumvent payment systems or engage in fraudulent booking activities
• Use automated systems to scrape data or overwhelm platform resources

5. Intellectual Property

All content on the Office Spaces platform, including but not limited to text, images, logos, graphics, videos, software, website builder templates, and proprietary algorithms, is the property of Office Spaces or its licensors and is protected by copyright and other intellectual property laws. You may not use, copy, modify, or distribute any content without prior written permission from the respective owner.

For website builder services: You retain ownership of content you create using our tools, while granting Office Spaces a license to host, display, and provide technical services for your websites. Our templates, design elements, and builder software remain our intellectual property.

For property listings: Property owners retain rights to their property information and images, while granting Office Spaces permission to display and market these listings on our platform and partner networks.

6. Payment Terms and Financial Obligations

Office Spaces operates on multiple payment models depending on the service:

Office Space Bookings:

• Payment is required at the time of booking confirmation
• We collect a service fee (typically 5-10%) from successful bookings
• Property owners receive payments within 2-3 business days after booking completion
• Cancellation and refund policies vary by property and are specified at booking

Website Builder & Hosting Services:

• Subscription fees are billed monthly or annually as selected
• Domain registration and premium features may incur additional charges
• Services continue until cancelled, with no automatic refunds for partial periods

Virtual Office & Communication Services:

• Monthly subscription fees apply for virtual office packages
• VOIP and communication services may include usage-based charges
• Additional services like mail forwarding may incur separate fees

All payments are processed securely through Stripe. You authorize us to charge your payment method for applicable fees. Failure to pay may result in service suspension or termination.

7. Privacy Policy

Your use of Office Spaces is also governed by our Privacy Policy, which can be found at /privacy-policy. Please review the Privacy Policy to understand how we collect, use, and protect your personal information across all platform services including booking data, website analytics, and communication records.

8. Limitation of Liability

To the fullest extent permitted by law, Office Spaces shall not be liable for any indirect, incidental, special, or consequential damages arising from your use of the platform or any linked third-party websites. We make no representations or warranties regarding the accuracy, reliability, or completeness of property listings, website builder functionality, or communication services.

Specific service limitations:

• Property Listings: We are not responsible for the accuracy of property descriptions, availability, or the conduct of property owners or tenants
• Website Builder: We do not guarantee uninterrupted service or backup of website content
• Virtual Office: Mail forwarding and call services are provided on a best-effort basis
• Communication Services: VOIP quality may vary based on internet connectivity and external factors

Our total liability for any claims related to the platform shall not exceed the amount you paid to Office Spaces in the 12 months preceding the claim.

9. Insurance and Property Protection

Office Spaces provides general liability insurance coverage for bookings made through our platform. However, property owners are strongly encouraged to maintain their own comprehensive insurance policies. Users acknowledge that Office Spaces' insurance is supplementary and may not cover all potential damages or losses. Specific coverage details are available upon request.

10. Indemnification

You agree to indemnify and hold harmless Office Spaces, its affiliates, directors, officers, employees, agents, and contractors from any claims, damages, losses, or expenses arising out of or related to:

• Your violation of these Terms or applicable laws
• Your use of any platform services including property bookings, website builder tools, or communication services
• Content you post or transmit through our platform
• Property listings you create or manage
• Websites you build using our tools
• Any disputes with other users of the platform
• Your breach of any third-party rights

11. Service Availability and Termination

We may suspend or terminate your access to Office Spaces and any or all of its services at any time, with or without cause, and with or without notice. Specific termination conditions include:

• Violation of these Terms or applicable laws
• Fraudulent activity or misuse of payment systems
• Providing false information in property listings or user accounts
• Non-payment of fees or charges
• Abuse of platform resources or other users

Upon termination: active bookings will be honored according to their terms, website builder services may be suspended after a grace period, virtual office services will be discontinued, and you may lose access to platform data. We recommend regular backups of important information.

12. Dispute Resolution

Any disputes arising from or related to these Terms or your use of Office Spaces services shall be resolved through binding arbitration, rather than in court. The arbitration will be conducted in Calgary, Alberta, Canada under the rules of the Canadian Arbitration Association. You agree to submit to the personal jurisdiction of Alberta courts for the enforcement of any arbitration award.

For disputes involving property bookings or transactions under $5,000 CAD, you may elect to use our internal mediation service before proceeding to arbitration.

13. Governing Law

These Terms shall be governed by and construed in accordance with the laws of the Province of Alberta, Canada, without regard to its conflict of law principles. For international users, local consumer protection laws may also apply and take precedence where required by law.

14. Third-Party Links and Integrations

The Office Spaces platform may contain links to third-party websites or services that are not owned or controlled by Office Spaces, including payment processors (Stripe), mapping services, calendar integrations, and communication providers. We are not responsible for the content, privacy policies, or practices of any third-party sites or services. You access third-party websites at your own risk.

Our platform integrates with various third-party services to provide enhanced functionality. These integrations are subject to the respective third-party terms of service and privacy policies.

15. Data and Content Ownership

User-generated content ownership varies by service:

• Property Listings: You retain ownership of property descriptions and images while granting us marketing rights
• Website Builder Content: You own your website content; we provide hosting and technical services
• Booking Data: Transactional data is jointly controlled for operational and legal purposes
• Communication Records: Call logs and messages may be retained for quality and dispute resolution

Upon account termination, you may request data export for certain types of content, subject to legal retention requirements.

16. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision will be severed from these Terms, and the remaining provisions will remain in full force and effect.

17. Entire Agreement

These Terms constitute the entire agreement between you and Office Spaces with respect to your use of the platform and supersede all prior or contemporaneous communications and proposals, whether electronic, oral, or written, between you and Office Spaces. Additional terms may apply to specific services (website builder, virtual office packages, etc.) and will be provided separately.

18. Updates and Notifications

We will notify users of material changes to these Terms through:

• Email notifications to registered users
• Platform notifications upon login
• Updates to the "Last Updated" date on this page

Continued use of Office Spaces services after notification constitutes acceptance of updated Terms.
